These Terms of Service (“Terms”) govern your download, installation, access to, and use of desktop applications, related software, websites, services, updates, content, and documentation provided by EvE3UM Software & Solutions (“EvE3UM,” “we,” “us,” or “our”). By downloading, installing, accessing, or using any EvE3UM application or service (collectively, the “Software”), you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, access, or use the Software.

These Terms apply in addition to any terms presented in the Microsoft Store, a third-party AI provider, Microsoft 365, OneDrive, SharePoint, Microsoft Graph, or another connected service. If separate product-specific terms are provided for an EvE3UM application, those product-specific terms apply to that application and control if they conflict with these Terms.

Eligibility and Acceptance

By using the Software, you represent that you are at least 13 years old or the minimum age required to enter into a binding agreement in your jurisdiction. If you use the Software on behalf of an organization, you represent that you have the authority to accept these Terms on that entity’s behalf.

License Grant

EvE3UM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on Windows devices you own or control. The Software is licensed, not sold. Microsoft Store applications may also be subject to Microsoft’s Standard Application License Terms unless EvE3UM provides separate license terms.

Local-First Operation and Your Content

EvE3UM develops local-first desktop applications. Core application data, files, projects, local databases, workspace settings, and generated outputs are generally stored on your device.

You retain ownership of the content you create or import (“Your Content”). You are responsible for its accuracy, legality, permissions, storage, backup, and use. EvE3UM is not responsible for loss or corruption of locally stored content.

Some features may allow you to export, share, synchronize, upload, or connect Your Content to third-party services. You are responsible for ensuring you have the rights and permissions to do so.

AI Features and Output

Some applications include AI-powered features. Local AI (e.g., Microsoft Foundry Local) processes prompts on your device. If you configure a cloud AI provider, information may be transmitted to that provider under its terms.

AI-generated content may be inaccurate, outdated, biased, or unsuitable. You must independently verify all AI-generated content before relying on it. AI output is not legal, medical, financial, tax, compliance, or professional advice.

AI-Assisted Content and No Professional Advice (GovernIQ)
GovernIQ Local Pro provides workflow and drafting tools for informational purposes only. AI-generated policies, assessments, recommendations, or reports may be incomplete or inaccurate. GovernIQ does not provide legal, regulatory, compliance, audit, accounting, privacy, cybersecurity, or professional advice. Use does not establish any professional-client relationship.

GovernIQ does not guarantee compliance with any law or framework. You are responsible for validating all content and obtaining professional review when needed.

If you use a remote AI endpoint, you are responsible for ensuring compliance with your organization’s requirements.

Optional Microsoft 365 Connections

UDX and GovernIQ Local Pro may offer optional connections to Microsoft 365, OneDrive, SharePoint, or Microsoft Graph. These features require sign-in and permission approval. Information you select may be transmitted to or received from Microsoft. Core local workspace content remains on your device unless you choose to export or synchronize it.

EvE3UM does not automatically upload workspace content to Microsoft 365.

Internet Connectivity and Third-Party Services

The Software may operate offline, but certain features require internet access, including licensing, updates, AI model downloads, Microsoft 365 connections, cloud AI providers, synchronization, sharing, exporting, collaboration, and opening support or policy links.

EvE3UM is not responsible for third-party services, their availability, security, privacy practices, or terms.

Acceptable Use

You agree not to use the Software unlawfully, harmfully, or in violation of rights or regulations. You may not upload or distribute illegal, false, defamatory, obscene, exploitative, or harmful content. You may not interfere with the Software, connected services, or third-party systems.

Intellectual Property

The Software and all related materials are owned by EvE3UM or its licensors. You retain ownership of Your Content. If you provide files or screenshots for support, you grant EvE3UM a limited right to use that material solely for support purposes.

Purchases, Payments, and Subscriptions

Marketplace purchases, subscriptions, renewals, refunds, and billing are handled by the Microsoft Store or applicable marketplace. EvE3UM does not receive full payment-card information. Subscription access may end if the subscription expires or cannot be verified.

Updates, Availability, and Support

EvE3UM may provide updates or modify features at its discretion. We may suspend or discontinue features subject to applicable law and marketplace obligations. Unless stated otherwise, we are not obligated to provide ongoing support or updates.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. EVE3UM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND SECURITY. YOU ASSUME ALL RISK FROM USE OF THE SOFTWARE AND THIRD-PARTY SERVICES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVE3UM IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS. TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE OR TEN DOLLARS ($10.00), WHICHEVER IS GREATER.

Indemnification

You agree to defend and indemnify EvE3UM against claims arising from your use of the Software, Your Content, violations of these Terms, use of third-party services, or reliance on AI-generated content.

Third-Party Components

The Software may include third-party or open-source components governed by their own licenses. Those licenses control where applicable.

Termination

These Terms remain in effect until terminated. EvE3UM may suspend or terminate your license for violations or misuse. You may terminate by deleting the Software. Certain sections survive termination.

Governing Law and Venue

These Terms are governed by Texas law. Legal actions must be brought in Galveston County, Texas, unless prohibited by applicable consumer protection laws.

Changes to These Terms

EvE3UM may update these Terms. Updates will be posted on this page. Continued use of the Software after updates means you accept the revised Terms.

Severability and Waiver

If any provision is invalid, it will be limited or removed as necessary. Failure to enforce a provision is not a waiver.

Entire Agreement

These Terms, together with the Privacy Policy, app-specific terms, and marketplace terms, form the entire agreement between you and EvE3UM.
